We specialize in preparing for entering the market of public offerings with listing on the Uzbek stock exchange, private placements (IPO, Private Placement); organization and support of transactions for the sale, acquisition, merger of companies; using complex structured products and other services.

 

 

IPO (Initial Public Offering) - a procedure for publicly offering shares of a joint stock company for an unlimited circle of investors. Moving a company from private to public gives a number of advantages, for example:

  • Raising money on more favorable terms than private companies. The status of publicity not only opens the company's access to a new source of financing - the market, but also facilitates the receipt of traditional credit resources
  • Maximization and valuation of the company. When the company's shares are traded on the stock exchange, the value of the company is estimated by the market in stock quotes. If a company works efficiently, shows high growth rates of both production and financial indicators, is open and transparent - its shares are attractive to investors, which means they grow in price, which leads to an increase in the company's value and an increase in the shares of each of the shareholders in absolute terms.
  • Increasing recognition and prestige. A high level of corporate governance in public companies increases its value and, as a result, increases the recognition and image of such a company. The law obliges a public company to conduct regular audits, which means its financial activities are more transparent, often companies have an independent member of the board of directors, which causes additional confidence in the company from foreign investors

  • Cost of IPO. Before going to the exchange, the placement organizers (underwriters, bookrunners, exchange co-managers, etc.) do a lot of work on which the success of the placement of shares depends, therefore this is a costly event and you will not be able to save money without losing quality.
  • Provision of information. Publicity means openness for the company, the company will have to disclose data on the structure of shareholders, provide quarterly and annual reports, conduct audits, meet and communicate with minority shareholders

Preparation for an IPO often takes a year or more, with careful planning of events and the involvement of qualified, experienced consultants, the influence of positive factors easily overshadows the costs and inconveniences associated with the costs of conducting an IPO and information disclosure.

 

SPO (Secondary Public Offering) - a public offering of shares that belong to existing shareholders. Thanks to this placement, the number of shares in free float is growing, because the total number of shares does not change, and one of the shareholders sells its shares to an unlimited circle of investors. Consider this from the point of view of the investor and make the assumption that the SPO may be a trigger for the growth of stock prices. Secondary placement of shares increases the number of shares in free float.

 

IPO and SPO

 

According to the legislation of the Republic of Uzbekistan of PKM No. 268 dated 05/10/2017, the initial public offering (IPO) is the placement by a joint-stock company (IPO initiator) of an additional group of investors of additional shares on the stock exchange. The acronym IPO stands for Initial Public Offering and literally translates as an initial public offering.

 

Through the IPO, the capital of a large circle of investors of legal entities and individuals is accumulated, as well as obtaining an objective market price for the company's shares.

After entering the stock exchange, the company becomes a listing, and therefore public, its shares are freely traded on the stock exchange, any investor can freely buy or sell these securities.

 

By the Decree of the President of the Republic of Uzbekistan dated January 17, 2017 No. UP-4933 “On Measures to Further Simplify Procedures and Accelerate the Implementation of State-Owned Objects for Use for Entrepreneurial Purposes”, it was instructed to introduce the forms of state ownership widely used in international practice, namely primary (IPO ) and the secondary (SPO) public offering of shares to the public and business entities conducted on the stock exchange.

 

The Presidential Decree No. UP-4947 of February 7, 2017 approved the “STRATEGY OF ACTION in the five priority areas of the development of the Republic of Uzbekistan in 2017-2021”, the official commentary to this Decree states that the third area is “Development and liberalization of the economy”, indicated in the “STRATEGY OF ACTION in five priority areas of the development of the Republic of Uzbekistan in 2017-2021” also includes measures to protect private property, the financial market, modernization of agriculture, the development of the jewelry industry, and preparations Initial public offering (IPO) of selected national enterprises on reputable foreign stock exchanges.

 

Secondary public offer (SPO) - the sale by a shareholder (initiator of SPO) of his shares to an unlimited circle of investors on the stock exchange. SPO, unlike IPO, does not affect the size of the authorized capital of the company. But at the same time, such a placement still makes the company public, that is, one whose shares are freely traded on the securities market. In addition, the number of shareholders will increase, making stocks liquid.

 

SPO is an offer of existing shares owned by someone taken from the secondary market. As a rule, the founders of the company, that is, the original shareholders, sell their securities through SPOs.
